Terms and Conditions

§ 1 Scope, Contracting Parties

These General Terms and Conditions (GTC) apply to all orders placed via the online shop on this website, operated by UP Industry Solutions GmbH, Greyledergasse 24/1, 1230 Vienna, Austria (for more details, see Imprint) — hereinafter referred to as "we" or "seller".

The shop is aimed at both consumers within the meaning of the Consumer Protection Act (KSchG) and entrepreneurs within the meaning of the Austrian Commercial Code (UGB) who order via an activated company account (B2B trading partner). Where these GTC differentiate between the two groups, this is explicitly stated.

§ 2 Conclusion of Contract

The presentation of products in the shop does not constitute a legally binding offer, but rather a non-binding invitation to order. By clicking the "Order with obligation to pay" button (or an equivalently clearly labeled button) at the end of the ordering process, you submit a binding offer to purchase the goods contained in your shopping cart.

The purchase contract is concluded as soon as we accept your order through an order confirmation via email, or at the latest upon delivery or provision for collection.

§ 3 Prices and Payment Terms

Prices shown for consumers are final prices including the statutory Austrian VAT, plus any shipping costs, which will be shown separately before the order is completed.

For trading partners with an activated B2B account, the net prices stored in the dealer catalog apply according to § 11 UStG, plus the currently valid VAT.

Payment is made by credit card via the payment service Shopify Payments integrated into the shop. The order will only be processed after successful payment confirmation.

§ 4 Delivery and Collection

Currently, the processing takes place through the collection of the ordered goods from a contract dealer chosen by you during the ordering process. The expected collection date depends on the availability at the respective dealer and will be communicated to you after receipt of payment.

Direct delivery to a delivery address specified by you is in preparation and will be offered as soon as available; the shipping costs stored in the shop apply in this case.

§ 5 Retention of Title

The delivered goods or goods provided for collection remain our property until full payment of the purchase price.

§ 6 Warranty

The statutory warranty provisions apply. For consumers, the statutory warranty period is two years from the handover of the goods. A possible voluntary manufacturer's guarantee, the conditions of which result from the enclosed or linked guarantee documents on the product page, is to be distinguished from the statutory warranty.

For entrepreneurs (B2B), the duty of inspection and notification of defects according to § 377 UGB also applies: obvious defects must be reported immediately, but no later than 7 days after receipt of the goods, in writing.

§ 7 Liability

We are liable without limitation for intent and gross negligence, as well as in accordance with the Product Liability Act. For slight negligence, we are only liable for the breach of essential contractual obligations and limited in amount to the foreseeably typical damage of the contract, to the extent legally permissible. This limitation of liability does not apply to damages resulting from injury to life, body or health.

§ 8 Right of Withdrawal for Consumers

Consumers have a statutory right of withdrawal. Details can be found in our separate Cancellation Policy.

For orders placed by entrepreneurs via a B2B trading partner account, there is no statutory right of withdrawal under the Distance and Off-Premises Contracts Act (FAGG), as this only covers consumer transactions.

§ 9 Data Protection

Information on the processing of your personal data in the context of order processing can be found in our Privacy Policy.

§ 10 Applicable Law, Place of Jurisdiction, Dispute Resolution

Austrian law applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, this choice of law applies without prejudice to mandatory consumer protection provisions of the state in which you have your habitual residence.

For consumers, the statutory places of jurisdiction apply. If the customer is an entrepreneur, the exclusive place of jurisdiction for all disputes arising from this contractual relationship is the court with subject-matter jurisdiction for 1230 Vienna.

Information on out-of-court online dispute resolution can be found in our Imprint.

§ 11 Final Provisions

Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
